What is an intermediary?

An intermediary is a third party representative for a seller or buyer of a business. The main reasons for hiring intermediaries is to have an independent person(s) represent you in the sale or acquisition of a business to bring calm, logic, and good decision making to the process.

Why should I engage Brown Smith Wallace?

In our firm, we look for exclusive representation. Our menu of services are to represent you and are made up of:

  • We perform all or whatever you decide
  • Assisting in the evaluation and pricing of the business (including comparable transactions)
  • Prepare a prospectus and coordinate due diligence
  • Seek out prospects
  • Determine who qualified prospects are
  • Negotiate purchase price
  • Work with advisors (accountants and lawyers)
  • Bring issues to the surface and find ways to resolve them

Our fees are contingent and determined by formula, except for a non refundable retainer paid at the time we are hired and deducted from the total fee.
